Celie AI, LLC ("Celie AI," "we," "us," or "our"), located at 1111B S Governors Ave STE 97676, Dover, DE 19904, provides products and services including the "AI for Executives" course, 1:1 consulting sessions, coaching, and associated materials and services (collectively, the "Services"). These Terms of Use ("Terms") govern your access to and use of our Services. By purchasing, accessing, or using the Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

Who May Use Our Services

Use of the Services by anyone under the age of 18 is strictly prohibited. You may use our Services only if you comply with these Terms, all applicable laws, and are over the age at which you can provide consent to data processing under the laws of your country.

Account Integrity: When you create an account, you must provide accurate and complete information. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Celie AI immediately of any unauthorized use of your account.

Our License to You

Subject to these Terms and our policies, Celie AI grants you a limited, personal, non-exclusive, non-transferable, and revocable license to access and use the Services.

Scope of Use: This license is for your individual, internal educational and professional development purposes.

Single User Only: This license is granted to a single individual. You agree not to share your access, passwords, course materials, video lectures, or proprietary frameworks with any third party.

Ownership: Using our Services does not give you ownership of any intellectual property rights in our Services or the content you access. All rights not expressly granted to you are reserved by Celie AI, LLC.

Commercial Use

Prohibited Commercial Use: You may not use our proprietary materials to create a competing product, nor may you resell, redistribute, or use the materials to train individuals outside of your immediate purchase agreement without prior written consent. Any use of the Services for external commercial training or redistribution will be governed by a separate Master Services Agreement (MSA) or Enterprise License.

Content Offerings

General Disclaimer and Limitation of Liability

The content provided in our Services is for informational and educational purposes only. It is not intended as professional, financial, legal, or specialized business advice.

No Guarantee of Results: We make no guarantees regarding specific business outcomes, ROI, or career success achieved from applying the information provided.

Limitation of Liability: To the fullest extent permitted by law, Celie AI, LLC shall not be liable for any indirect, incidental, or consequential damages. Celie AI's maximum aggregate liability to you shall not exceed the total fees paid by you for the Services.

Accuracy of Information and Errors

The Services are provided on an "as is" basis. While we strive for excellence, we do not warrant that the content is error-free, complete, or current.

By purchasing and using our Services, you acknowledge that due to the nature of online education and the complexity of the subject matter, any of our Services may contain typographical errors, technical inaccuracies, or unintentional content errors.

We expressly disclaim all warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Your use of our Services is at your sole risk.

No Endorsement or Investment Advice

References to specific companies, software, or AI models do not constitute an endorsement. Celie AI and its instructors may hold interests in companies discussed. Nothing in our Services shall be construed as investment or financial advice. You are responsible for conducting your own due diligence before implementing AI tools into your business operations or making any investment decisions.

Intellectual Property and Access Security

Proprietary Rights: All course materials, including video lectures, proprietary frameworks, prompts, and templates, are the exclusive property of Celie AI, LLC.

Individual License: Your purchase grants a license to one (1) individual only. Sharing login credentials or distributing course materials to others (including internal staff or assistants) is a material breach of these Terms and will result in immediate termination of access without refund.

Indemnification

You agree to indemnify and hold harmless Celie AI, LLC from any claims, damages, or legal fees arising from your use of the Services or your application of AI techniques learned in the course in a manner that violates third-party rights or applicable laws.

Changes to Our Services

Celie AI reserves the right to cancel, modify, or update Content Offerings at its sole discretion to reflect the evolving nature of the AI industry.

No Academic Credit

Celie AI does not grant academic credit for the completion of our Services.

Disclaimer of Student-Content Provider Relationship

Nothing in these Terms or otherwise with respect to your participation in any Content Offerings: establishes any relationship between you and any Content Provider, or enrolls or registers you in any Content Provider institution, or in any Content Offering offered by any Content Provider institution.

Security

We implement commercially reasonable security measures to protect your information. However, you acknowledge that no security system or internet transmission is 100% secure. You are solely responsible for all activity on your account. You must notify us immediately at aleix@aleix.ai if you suspect unauthorized access. Celie AI reserves the right to terminate accounts that show patterns of suspicious activity, including concurrent logins from geographically distant locations.

Third Party Content and AI Tools

Our Services may link to or require the use of third-party platforms.

No Warranty: Celie AI does not warrant the security, appropriateness, or functionality of these third parties.

Assumption of Risk: Your use of third-party AI tools is governed by their respective terms. Celie AI is not liable for any data breaches, "hallucinations," or service interruptions caused by these third-party providers.

Paid Services

Fees are quoted in USD and are exclusive of taxes. You are responsible for all applicable sales, use, or VAT taxes. For 1:1 sessions or consulting: You must provide at least 48 hours' notice for cancellations. Failure to do so may result in the forfeiture of the session fee.

Modifying or Terminating our Services

We amend, change, and improve our Services regularly. We may add or remove functions, features, or offerings, and we may suspend (to the extent allowed by applicable law) or stop part of our Services. Accordingly, Celie AI may terminate your use of any Service for any reason. If your use of a paid Service is terminated, a refund may be available under our Refund Policy. We may not be able to deliver the Services to certain regions or countries for various reasons, including due to applicable export control requirements or internet access limitations and restrictions from governments, or for commercial or reputational reasons. None of Celie AI, its Content Providers and instructors, its contributors, sponsors, and other business partners, and their employees, contractors, and other agents shall have any liability to you for any such action. You can stop using our Services at any time.

Specific AI Disclaimer

Verification Requirement: You acknowledge that AI-generated content can be inaccurate, biased, or out of date. You agree that it is your sole responsibility to human-verify all outputs generated by AI tools used in or by our Services before applying them to legal, financial, or business-critical operations. Celie AI disclaims all liability for business decisions made based on unverified AI output.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CELIE AI, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS OR BUSINESS OPPORTUNITY.

LIABILITY CAP: IN NO EVENT SHALL CELIE AI'S AGGREGATE LIABILITY EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO CELIE AI FOR THE SERVICE GIVING RISE TO THE CLAIM.

TIME LIMIT: YOU AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SERVICES MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.

Export Controls

By using our Services, you are warranting that you are not located in, under the control of, a national of, or ordinarily resident in, any country that is subject to applicable U.S. laws and regulations, or laws of your local jurisdiction, preventing Celie AI from providing you access to the Services. Your location is determined by your physical location. Use of a virtual private network service, IP routing services, or other similar service for the purpose of circumventing these laws is strictly prohibited.

By using our Services, you are warranting that you are not named on, or controlled by anyone named on, any government prohibited, denied, unverified-party, sanctions, debarment, or exclusion list or export-controlled related restricted party list. You will immediately discontinue your use of the Services if you, or a party exercising control over you, are placed on any sanctions list. You also warrant that you will not export, re-export, or transfer the Services to any country against which the U.S. has embargoed goods or services, or to an entity or person on any sanctions list, or otherwise use the services in a manner that would be in violation of applicable laws.

Notwithstanding anything to the contrary in these Terms, Celie AI may suspend performance of or terminate any further obligations to you, effective immediately if you are in breach of the obligations in this section or if the continued provision of our Services to you may, in our sole discretion, result in our commercial or reputational harm.

Indemnification

You agree to indemnify, defend, and hold harmless Celie AI from any and all claims, liabilities, expenses, and damages (to the extent attributable to you under the applicable law), including reasonable attorneys' fees and costs, made by any third party related to: (a) your use or attempted use of the Services in violation of these Terms; (b) your violation of any law or rights of any third party; or (c) User Content, including without limitation any claim of infringement or misappropriation of intellectual property or other proprietary rights.

General Terms

If it turns out that a particular provision of these Terms is not enforceable, this will not affect any other terms. If you do not comply with these Terms, and we do not take immediate action, this does not indicate that we relinquish any rights that we may have, such as taking action in the future.

Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Revisions to the Terms

We reserve the right to revise the Terms at our sole discretion at any time. Any revisions to the Terms will be effective immediately upon posting by us. For any material changes to the Terms, we will take reasonable steps to notify you of such changes, via a banner on the website, email notification, another method, or combination of methods. In all cases, your continued use of the Services after publication of such changes, with or without notification, constitutes binding acceptance of the revised Terms.

Refund and Cancellation Policy

Courses

All purchases are final and non-refundable. Because you are granted immediate access to the entire course content upon purchase, we maintain a strict no-refund policy. We do not offer refunds, prorated or otherwise, for any reason, including but not limited to dissatisfaction with the content, a failure to complete the course, or accidental purchase. By completing your purchase, you explicitly acknowledge and agree to this no-refund policy.

Other Paid Services

If Celie AI cancels a pre-paid consulting session and cannot reschedule within a reasonable timeframe, a prorated refund for that specific session will be issued. No refunds will be issued for "no-shows" by the client.

Promotional Offers

Celie AI may occasionally offer special discounts or promotional offers. Eligibility for these offers is determined at Celie AI's sole discretion. Offers may be revoked if you are deemed ineligible.

Acceptable Use and Anti-Scraping

You are strictly prohibited from:

• Using any automated system (bots, scrapers) to extract data from our Services.
• AI Training: Using any content, videos, audio files, or PDFs from the Services to train, fine-tune, or provide context for any machine learning or artificial intelligence models (including RAG systems) without an enterprise license.
• Competitive Use: Accessing the Services to build a competing educational product or consulting framework.

Copyright and Trademark Policy

Celie AI respects the intellectual property rights of our Content Providers, instructors, and other third parties and expects our users to do the same during and after using our Services. We reserve the right to suspend, disable, or terminate the accounts of those who infringe or are charged with infringing the copyrights, trademarks, or other intellectual property rights of others.

If you believe in good faith that materials on the Celie AI platform infringe your copyright, you (or your agent) may send us a notice requesting that the material be removed. We suggest that you consult your legal advisor before filing a notice. Be aware that there may be penalties for false claims.
